By accessing or using the FineGuard platform at fineguardpro.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and FINE GUARD LTD. We may update these Terms from time to time. Continued use of the Service after any changes constitutes your acceptance of the revised Terms.

FineGuard provides automated monitoring of UK Companies House filing deadlines, alerts for upcoming compliance obligations, and related company intelligence tools. The Service retrieves publicly available data from Companies House and presents it in a structured format to assist UK company directors, secretaries, and their advisers.

The Service is provided for informational purposes only. It does not constitute legal, financial, or professional advice. You remain solely responsible for ensuring your company meets all statutory filing obligations.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.

Some features of the Service are available on a paid subscription basis. Subscription fees are charged in advance on a monthly or annual basis as selected at the time of purchase. All prices are stated in British Pounds (GBP) and are inclusive of VAT where applicable.

Payments are processed by Stripe, Inc. By subscribing, you authorise us to charge your payment method on a recurring basis. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

We reserve the right to change subscription prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Scrape, crawl, or systematically extract data from the Service without our prior written consent
• Resell, redistribute, or sublicense access to the Service without our prior written consent
• Introduce viruses, malware, or other harmful code into the Service
• Use the Service to send unsolicited communications (spam)
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

All content, software, and technology comprising the Service, including but not limited to text, graphics, logos, and code, is the property of FINE GUARD LTD or its licensors and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your own internal business purposes. This licence does not include the right to copy, modify, distribute, sell, or lease any part of the Service.

Data sourced from Companies House is made available under the Open Government Licence v3.0.

The Service relies on data published by Companies House. Whilst we endeavour to present this data accurately, we make no warranty as to its completeness, accuracy, or timeliness. Companies House data may be delayed, incomplete, or subject to error. You should always verify critical compliance information directly with Companies House at find-and-update.company-information.service.gov.uk.

To the fullest extent permitted by law, FINE GUARD LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or in connection with your use of the Service.

Our total aggregate liability to you in connection with these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to us in the 12 months preceding the claim, or (b) £100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

You agree to indemnify, defend, and hold harmless FINE GUARD LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service or your breach of these Terms.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Service.

Upon termination, your right to use the Service will immediately cease. Sections 8, 10, 11, and 14 shall survive termination.

The Service integrates with third-party services including Companies House, Stripe (payment processing), and others. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of any third-party service providers.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
